블록체인을 활용한 ICO의 이해와 금융법상 쟁점
Understanding of ICO using Blockchain and Issues in Financial Law
최근 개발 초기단계의 프로젝트를 수행하기 위한 자금을 모금하기 위하여`토큰 세일(token sale)`내지`코인 세일(coin sale)`을 진행하는 사례가 늘어나고 있다. 일반적으로 이러한 자금조달 방식을`최초 코인 공개`또는`ICO(Initial Coin Offerings)`라고 칭한다. 하지만 아직까지 ICO가 정확히 무엇을 의미하며 그 범위는 어디까지인지에 대한 일치된 정의는 없는 것으로 보인다. ICO를 통한 자금조달은 2017년 2분기 벤처캐피털을 통한 자금조달의 규모를 초과할 만큼 그 규모가 지속적으로 커지고 있다. 그러나 ICO 시장의 급격한 성장과 함께 최근에는 여러 난제들도 생겨났다. 본 논문은 먼저, ICO가 무엇인지에 대한 이해를 시도해 보았다. 종합적으로 살펴볼 때, ICO란 프로젝트의 초기단계에서, 블록체인을 기반으로 한 코인 또는 토큰을 온라인상에서 공개적으로 판매함으로써 필요한 자금을 조달하고, 투자자에게 참여의 비율에 따라 코인 내지 토큰을 분배하여 이들의 시장가치를 임의로 형성하는 일련의 과정이다. 이어 해외의 규제동향 및 우리나라의 ICO에 대한 접근 태도를 살펴보고 시사점을 도출해 보았다. 다음으로 ICO와 관련하여 나타날 수 있는 금융법적 이슈들을 파악해 보았다. 먼저 코인 또는 토큰의 자본시장법상 관련한 쟁점들을 다루었다. 즉 코인 또는 토큰이 금융투자상품으로서`투자성`이 있는지 여부, 자본시장법상 열거된 6가지 증권에 해당되는지 여부 및 파생상품에 해당하는지 여부, ICO 발기인들이`금융투자중개업자`에 해당하는지 여부, 자본시장법상 모집과 매출에 관련한 쟁점 및 크라우드펀딩과 관련한 쟁점, 부실공시의 손해배상책임 문제, 투자자 보호의 문제, 불공정거래행위 문제를 살펴보았다. 그밖에 외국환거래 관련쟁점과 금융실명거래 관련 쟁점, 유사수신에 해당하는지 여부에 대하여도 고찰해 보았다. 본 논문은 가상통화 이슈 이외에 가상의 세계라는 보다 넓은 시각에서 ICO 현상을 이해하고자 하였다. 본 논문은 아직까지 개척단계에 있는 ICO에 대하여 독자들의 이해도를 높이는 데 도움을 줄 수 있고, 우리나라 ICO 정책에 대한 제언을 담고 있다는 점에서 향후 관계 당국의 정책적 접근에 있어서도 많은 시사를 주리라 생각한다.
Recently, case of `token sale` or `coin sale` have been increasing to raise money which is carried out by the early-stage projects. This is commonly referred to as `Initial Coin Offerings` or `ICOs`. However, until now there is no consistent definition of what ICO is. Procurement of funds through the ICO continues to grow in size. However, there have been many challenges recently. First in this paper we tried to understand what ICO is. Next, we examined the regulatory trends in foreign countries and Korea. And then, we looked at financial legal issues in general that may arise in connection with ICO. In this part, we also discussed issues related to `Financial investment services and capital markets Act`. In addition, it is examined the issues related to `Foreign exchange transactions Act` and `Act on real name financial transactions and confidentiality`, `Act on the regulation of conducting fund-without permission`. In this paper, Also we have examined the issues of financial law related to ICO in a comprehensive way, but we think that further research on these issues will be needed in the near future. Futhermore it is considered that the legal issue of the token must be discussed as soon as possible. In addition, we think that it is necessary to study about issue of taxation and transactional laws aspect of ICO in detail. Finally we think that this paper can help ICO policies institutions of Korea which is still in the pioneering stage and the reader of this article to gain understanding about ICO.
